Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Losava, an AI-assisted wedding-planning service operated by Arjay McCandless LLC, a Delaware limited liability company doing business as “Losava” (“Losava,” “we,” “us,” or “our”). By creating an account, accessing, or using the service (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
Please also review our Privacy Policy, which explains how we collect and use your information and is incorporated into these Terms by reference.
1. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You register and sign in through our authentication provider, Clerk. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly at arjay@losava.com if you suspect unauthorized use.
2. The Service
Losava is a conversational AI assistant that helps couples plan weddings. It can, among other things, suggest and track vendors, manage budgets, guest lists, timelines, and seating charts, import data from documents you upload, and build and publish a wedding website. The Service is provided for personal, non-commercial wedding-planning use.
AI-generated content. Losava uses third-party artificial-intelligence models provided by OpenAI to generate suggestions, drafts, summaries, plans, and other output. AI output may be inaccurate, incomplete, or unsuitable for your circumstances. You are responsible for reviewing and verifying any AI-generated content before relying on it, and you should independently confirm vendor details, pricing, availability, contracts, and any other important information. The Service is not a substitute for professional legal, financial, or event-planning advice.
Vendor information. Vendor listings and location data are sourced in part from third-party providers such as the Google Places API. We do not endorse, vet, or guarantee any vendor, and any dealings or contracts you enter into with a vendor are solely between you and that vendor.
3. Subscriptions & Billing
The Service offers a free tier with a limited amount of included usage (including limits on AI usage), after which continued access requires a paid subscription (currently $29.99 per month, or $299.99 per year, for Losava Pro). Pricing and plan features are described on our pricing page and may change over time; we will give notice of material changes affecting your active subscription.
Payments are processed by Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel. Subscriptions renew automatically each billing period. You can manage, upgrade, or cancel your subscription at any time through the Stripe customer portal accessible from your account. Cancellation takes effect at the end of the current billing period, and, except where required by law, fees already paid are non-refundable. We may also impose usage limits (for example, on AI usage or message rate) to keep the Service available and cost-effective.
4. Your Content & Data You Submit About Others
You retain ownership of the content you submit to the Service, including chat messages, uploaded documents, photos, guest lists, vendor details, and wedding-website content (“Your Content”). You grant us a worldwide, non-exclusive license to host, store, process, reproduce, and display Your Content solely to operate, maintain, and improve the Service and to provide it to you and the collaborators you authorize.
Information about other people. The Service lets you store and process personal information about third parties (such as partners, guests, family members, collaborators, and vendors), including names, email addresses, phone numbers, mailing addresses, and dietary or other preferences. You represent that you have the necessary rights and, where required, consent to provide that information to us and to use it for wedding-planning purposes, and that you will handle invitations and communications responsibly.
You are responsible for Your Content and for ensuring it does not violate any law or third-party right. You must not upload content that is unlawful, infringing, defamatory, or that contains malware.
5. Collaborators & Public Wedding Websites
You may invite collaborators (such as a partner, planner, or family member) and assign them roles and permissions. You are responsible for whom you invite and the access you grant. If you publish a wedding website, the pages and information you choose to make public (which may include event details and an RSVP form) will be accessible to anyone with the link. Do not publish information you wish to keep private. We may remove public content that violates these Terms.
6. Acceptable Use
You agree not to:
- use the Service for any unlawful, harmful, or fraudulent purpose;
- attempt to reverse engineer, scrape, overload, or circumvent security, rate limits, or usage controls of the Service;
- use the Service to develop a competing product, or resell or redistribute the Service or its AI output as a standalone service;
- submit other people’s personal data without a lawful basis, or send unsolicited or unlawful communications; or
- interfere with or disrupt the integrity or performance of the Service or the third-party services it relies on.
7. Intellectual Property
The Service, including its software, design, branding, and content (excluding Your Content), is owned by Losava and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms. As between you and us, you own AI-generated output produced for you, subject to the terms of the underlying AI provider; you are responsible for how you use it.
8. Third-Party Services
The Service relies on third-party providers, including Clerk (authentication), Supabase (database and file storage), Stripe (payments), OpenAI (AI), Google (Places/vendor data), Resend (email), and others. Your use of the Service may also be subject to those providers’ terms. We are not responsible for the acts, omissions, or content of third parties.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, OR CORRECT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOSAVA AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless Losava from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including the privacy rights of guests or other individuals whose data you submit.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends. We may retain and delete your data as described in our Privacy Policy and as required by law.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
